Eight steps, two people you talk to.
You only ever deal with the owner and with us. Buyers never learn who you or the owner are unless the owner chooses to disclose to the buyer's counsel.

YouOwnerThe owner engages you first
Every listing starts with a business owner who has asked you to represent their data. You agree terms with them directly, off the exchange. data.cool is never part of that conversation and never reaches out to anyone on your behalf.
- Record which agreement you hold: Signed engagement letter, signed letter of intent (LOI), signed NDA, verbal agreement only.
- Ask the owner whether the data was ever sold or licensed before. You'll declare what they told you.
- Keep the agreement on file. The desk may ask to see it.

Youdata.coolSubmit the listing
Describe the business, its systems (email, documents, CRM, tickets, call recordings) and your proposed commission. Do it in the web form, over the API or from your agent through MCP. Free automated vetting runs at once: domain age, mail provider, SaaS stack and web history, with the evidence kept.
- Declare your agreement type and whether you know of any prior sale. Both are warranties under the Broker Terms.
- The listing is a private draft. No buyer can see it.
- You become provisional broker of record. Duplicates are checked by domain, and the first broker to list holds the claim for 60 days.

YouOwnerSend the owner their private link
You get an owner link and send it yourself, when you choose. The owner verifies an email on the company domain and confirms the listing, you as broker and your commission. Until then nothing is published.
- The owner answers the prior-sales question too. If an exclusive license is still active elsewhere, the listing can't be confirmed.
- When the owner's answer disagrees with yours, the desk flags it. You see the owner's answer in your notification.
- Confirmation makes your claim binding for 24 months and approves your commission.
- The owner chooses a Blind deal (default) or Disclosed to Counsel.

Broker and owner claims don't count until we've checked them. Brokered listings show nothing as verified until the desk has reviewed them.
- Mandate: verified only by the owner's own confirmation. Your signed letter alone never puts a listing live.
- Screening, with the owner's consent: business registry, sanctions, litigation and web presence, plus an optional owner ID check. A sanctions match takes the deal off the exchange.
- Data proof, optional: the owner connects Google Workspace or Microsoft 365 read-only. We measure message and file counts and date ranges, never content.

data.coolClean Room and the relisting scan
A sample goes through the Clean Room: names, emails and phones are replaced with consistent per-deal pseudonyms, and buyers get a measured residual-risk report. Before it can be approved, every sample is scanned for watermarks from copies already sold through the exchange.
- A sample carrying another buyer's watermarks can't be approved. The desk sees it marked as already sold.
- If you supplied that sample, it's treated as an unauthorized listing: suspension, removal of all your listings and a forfeited bond.

data.coolBuyerThe deal sheet goes live
The anonymized deal sheet is published to the exchange, deals.json and every agent tool. Headcount, years and region are in ranges: every published combination matches at least three businesses, and listing dates are rounded to the week. Smaller businesses are pooled into lots.
- Buyers see your agreement type and your prior-sales answer next to the owner's, plus the relisting scan result.
- Buyers request samples under a Mutual NDA, then bid or buy now. The owner keeps a private reserve, and the desk accepts or counters.
- Your deal enters the exchange at Owner committed, because the owner already confirmed. It climbs to Data measured when the owner connects their systems, and to Sample reviewed when the Clean Room approves a sample.
- You'll also see Lead and Vetted deals on the exchange. Those come from data.cool's own intake, never from a broker's unconfirmed draft.

Buyerdata.coolYouClose and get paid
The winning buyer pays a 10% deposit into escrow. The full export is delivered against a fingerprinted manifest, and a holdback is kept until the buyer accepts it. Your commission comes out of the proceeds before the owner payout.
- Commission, referral overrides and bonuses are paid to your bank through Stripe Connect. Stripe verifies your identity and collects your tax details.
- data.cool never takes a cut of your commission.
02 / Prior sales
Buyers' biggest fear is used data.
An environment builder who trains on data a competitor already has looks bad to the lab that hired them. So every deal sheet answers one question three ways, and two of the answers come from you and the owner.
Declarations rely on good faith, so we back them with consequences. A false one is a breach, and a buyer can reject the export as a material mismatch and be refunded from the holdback.

Who pays what, and when.
Everything is paid at close, from the deal funds. Nothing is charged up front to you or the owner.
- Listing
- Listing is free for everyone: owners and brokers.
- Your commission
- Your commission (up to 25% of gross) is agreed with the owner and only counts once the owner approves it. It's paid from the sale proceeds at close, before the owner payout. data.cool never takes a cut of it.
- Exchange fee
- 12% exchange fee, paid by the owner from proceeds at close. Your owners keep more on your first 3 deals: they pay a 6% exchange fee instead of 12%.
- Clean Room
- Clean Room fee: quoted per deal, from proceeds; waived on founding brokers' early listings.
- Buyer fee
- 4% buyer fee on top of the winning bid, paid at close.
- Escrow
- 10% refundable deposit on acceptance; 10% holdback until the full export is accepted.
- Bond
- Refundable $250 bond. It lifts your unconfirmed-listing limit from 5 to 25. Refunded when you close your account in good standing, at least 90 days after paying; forfeited on breach of the Broker Terms.
- Broker Pro
- Broker Pro, $49/month: up to 100 unconfirmed listings, priority desk review and instant demand alerts. Requires the bond. Cancel any time. Free for founding brokers' first 12 months.
- Referrals
- Bring in another broker and earn 10% of the exchange fee on their closed deals for 12 months.
- Payouts
- Commission, referral overrides and bonuses are paid to your bank through Stripe Connect. Stripe verifies your identity and collects your tax details.
Hard lines
What never happens on rl.data.cool.
- 01data.cool never contacts an owner you list. Not by email, phone or anything else. You send the link.
- 02data.cool never uses your company's details, or your clients', to reach out to anyone. Your pipeline is yours.
- 03No listing without the owner's agreement. Testing demand or pitching an owner through the exchange means suspension, removal of all your listings and a forfeited bond.
- 04No relisting data that was already sold, here or elsewhere. Every sample is scanned, and a false prior-sales answer is a breach.
- 05No going around the exchange for 24 months after an introduction. Owner data, samples and identity move only through the platform.
